In these Terms, “No.3”, “we”, “us” and “our” refer to the business operating the Website and providing the services.

“You” and “your” means the person or business accessing the Website or purchasing or using our services.

2. About These Terms

These Terms apply to visitors to our Website and, where applicable, to customers purchasing our services.

By using the Website, you agree to comply with these Terms.

Where you purchase services from us, a contract will be formed between you and us when we have accepted your order or proposal in accordance with the applicable quotation, proposal, statement of work or other agreement.

If there is a separate written agreement between you and us covering a particular service, that agreement will take precedence over these Website Terms to the extent of any conflict.

Nothing in these Terms is intended to exclude or restrict any legal rights that you have which cannot lawfully be excluded or restricted.

3. Our Services

We provide digital services which may include website design and development, website maintenance, search engine optimisation, digital marketing, Google Ads management, graphic design and related services.

The exact services, deliverables, timescales, fees and other requirements will be set out in the relevant quotation, proposal, statement of work or other agreement.

We will provide services with reasonable care and skill as required by applicable law.

We do not guarantee that any particular commercial, marketing, advertising, search-engine or financial result will be achieved unless we have expressly agreed such a guarantee in writing.

4. Website Use

You may use our Website for lawful purposes only.

You must not:

  • use the Website in breach of any applicable law or regulation;
  • attempt to gain unauthorised access to the Website, its servers or systems;
  • knowingly introduce viruses, malware or other harmful material;
  • interfere with the security, operation or availability of the Website;
  • copy, reproduce or exploit Website content except where permitted by law or with our written permission;
  • use the Website to commit fraud or facilitate unlawful activity; or
  • use automated systems to access or collect information from the Website where this is prohibited by law or expressly restricted by us.

We may suspend or restrict access to the Website where reasonably necessary for security, maintenance, legal or operational reasons.

5. Intellectual Property

Unless otherwise stated, we own or have the appropriate rights to use the intellectual property in the Website and its content, including our branding, text, graphics, designs, photographs, software and other materials.

You may view and use the Website for your personal or business purposes, but you must not reproduce, modify, distribute, publish or commercially exploit our content without our permission, except where permitted by law.

Where we create websites, designs, graphics, copy, code or other materials for a customer, ownership and licensing rights will be determined by the relevant quotation, proposal or agreement.

Unless expressly agreed otherwise, we retain ownership of our pre-existing materials, systems, tools, processes, templates, know-how and reusable code.

You are responsible for ensuring that any text, images, logos, photographs, software, data or other materials supplied by you to us can lawfully be used for the purposes of providing the services.

6. Customer Content and Instructions

You are responsible for the accuracy, legality and suitability of information and materials you provide to us.

You grant us permission to use materials supplied by you to the extent reasonably necessary to provide the services.

You must not provide us with material that infringes another person’s intellectual property, privacy or other legal rights, or that is unlawful.

You remain responsible for obtaining any permissions, licences, consents or approvals necessary for materials you ask us to use.

7. Quotes, Prices and Payment

Prices for our services will normally be set out in a quotation, proposal, invoice or other written agreement.

Unless stated otherwise, prices are exclusive of VAT where VAT is applicable.

A quotation is normally valid for the period stated in the quotation. If no period is stated, we may withdraw or amend a quotation before it is accepted.

Payment terms will be specified in the relevant quotation, proposal or invoice.

Where payment is overdue, we may suspend work after giving reasonable notice, subject to your legal rights and any separate agreement between us.

Nothing in these Terms permits us to impose a disproportionate cancellation fee or retain payments where doing so would be unlawful.

8. Project Changes and Delays

Where we are providing a bespoke project, the agreed scope will be set out in the relevant quotation or statement of work.

Requests outside the agreed scope may result in additional charges or changes to the delivery timetable. We will normally tell you about additional charges before carrying out substantial additional work.

We will not be responsible for delays caused by information, approvals, materials or decisions that we reasonably require from you but which are not provided on time.

We will also not be responsible for delays caused by events outside our reasonable control.

Where we are responsible for a delay, your statutory rights remain unaffected.

9. Website Hosting, Third-Party Services and Platforms

Our services may depend on third-party platforms, software or services, including hosting providers, domain registrars, advertising platforms, analytics services, content-management systems and search engines.

Third-party services may have their own terms, fees, availability requirements and privacy policies.

We are not responsible for changes, outages, restrictions or decisions made by third-party providers where those matters are outside our reasonable control.

Where you ask us to manage a third-party account or platform on your behalf, you remain responsible for complying with that provider’s terms and policies.

10. Digital Services and Digital Content

Where we supply digital content or digital services to a consumer, applicable statutory rights under UK consumer law will apply.

Digital content supplied to consumers must meet applicable legal requirements, including requirements relating to satisfactory quality, fitness for purpose and conformity with its description where those requirements apply.

Where applicable, consumers may have legal remedies if digital content or digital services do not meet those requirements.

Nothing in these Terms removes or limits those statutory rights.

11. Consumer Cancellation Rights

If you are a consumer and you enter into a contract with us online or otherwise at a distance, you may have a statutory 14-day cancellation period under the Consumer Contracts Regulations 2013.

Whether that right applies, and when it begins and ends, depends on the type of contract and service.

Where you ask us to begin providing a service during the statutory cancellation period, you may expressly request that we begin before the cancellation period has ended.

If you subsequently cancel, you may be required to pay a proportionate amount for services properly supplied up to the point of cancellation, where the law permits this.

There are circumstances in which the statutory right to cancel does not apply or may be lost, including certain services that have been fully performed following the consumer’s express request and acknowledgement.

For digital content supplied other than on a tangible medium, the statutory cancellation right may also be affected where you have expressly agreed to the supply beginning during the cancellation period and acknowledged that you will thereby lose the right to cancel.

Where these rules apply, we will obtain any legally required consent or acknowledgement before commencing the relevant service or supplying the relevant digital content.

12. Consumer Statutory Rights

Nothing in these Terms affects your statutory rights as a consumer.

Where we supply services to a consumer, the services will be provided with reasonable care and skill.

Where a consumer has statutory rights relating to goods, digital content or services, those rights apply regardless of anything stated elsewhere in these Terms.

We will not exclude or restrict liability where doing so would be unlawful.

13. Complaints

If you have a complaint about our services, please contact us as soon as reasonably possible.

We will consider your complaint and try to resolve it fairly and promptly.

You can contact us using the details in the “Contact Us” section below.

Nothing in this complaints procedure prevents you from exercising any legal rights you may have.

14. Our Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

In particular, nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by our negligence;
  • fraud or fraudulent misrepresentation;
  • breach of your statutory consumer rights;
  • defective products or digital content where liability cannot lawfully be excluded;
  • any other liability that cannot legally be excluded or restricted.

Subject to the above, and to the extent permitted by law, we will not be liable for indirect or consequential losses that were not reasonably foreseeable when the contract was entered into.

Where you are a consumer, we will only limit our liability to the extent that such a limitation is permitted by applicable consumer law.

Where you are contracting with us wholly for business purposes, any additional limitations of liability may be set out in the applicable quotation, proposal or business contract.

Nothing in these Terms prevents you from relying on rights or remedies that cannot legally be excluded.

15. Events Outside Our Reasonable Control

We will not be responsible for failure or delay in performing our obligations where the failure or delay results from circumstances outside our reasonable control.

This may include, for example, significant failures of telecommunications networks, hosting providers, third-party platforms, utilities, cyber incidents affecting third-party infrastructure, natural disasters, industrial disputes, government action or other events that could not reasonably have been prevented.

This clause does not remove any consumer rights that apply where a service has not been provided as required by law.

16. Suspension and Termination

We may suspend or terminate access to the Website where reasonably necessary, including for security, maintenance or legal reasons.

Where you have a contract for services with us, termination of that contract will be governed by the applicable agreement and any statutory rights.

We will not terminate a consumer contract arbitrarily where doing so would be unfair or contrary to applicable law.

If you materially breach an applicable agreement, we may take appropriate action, including suspension or termination, subject to any notice or other requirements imposed by law or the relevant contract.

Termination does not affect rights or obligations that accrued before termination.

17. Third-Party Websites and Services

Our Website may contain links to websites or services operated by third parties.

We do not control third-party websites and are not responsible for their content, availability, security or privacy practices.

You should review the applicable terms and privacy policies of third-party services before using them.

A link to a third-party website does not necessarily mean that we endorse that website or its services.

18. Privacy and Data Protection

We process personal information in accordance with applicable UK data protection law, including the UK General Data Protection Regulation and Data Protection Act 2018, as applicable.

Further information about how we collect and use personal information is provided in our Privacy Policy.

Our Privacy Policy is available at:

https://no3digital.co.uk/privacy-policy

If the Privacy Policy is not available at this address, the correct URL should be inserted before publication.

19. Changes to These Terms

We may update these Terms from time to time.

The latest version will be published on the Website with its effective or updated date.

Where we make a material change to contractual terms that already apply to you, we will provide reasonable notice where required by law or the applicable contract.

We will not use a change to these Terms to remove or reduce statutory rights you already have.

Changes to these Website Terms do not automatically change the terms of an existing contract unless the existing contract or applicable law permits the change.

20. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified or removed to the minimum extent necessary.

The remaining provisions will continue to apply.

21. No Waiver

If we do not immediately enforce a right under these Terms, this does not mean that we have waived that right.

A waiver will only be effective where expressly stated.

22. Entire Agreement

Where you purchase services from us, these Terms, together with the applicable quotation, proposal, statement of work, order and any other documents expressly incorporated into the contract, form the agreement between you and us concerning those services.

If there is a conflict between these Website Terms and a separately signed agreement, the separately signed agreement will generally take precedence for the services covered by that agreement.

Nothing in this clause limits any statutory rights.

23. Governing Law and Jurisdiction

These Terms and any dispute or claim arising from them will be governed by the law of England and Wales, unless applicable mandatory law requires otherwise.

If you are a consumer resident in another part of the United Kingdom, you may also have the benefit of mandatory protections and rights available to you under the law applicable to your place of residence.

If you are a consumer, you may bring proceedings in the courts of the part of the United Kingdom in which you live where applicable law gives you that right.

If you are a business customer, the courts of England and Wales will generally have exclusive jurisdiction unless a separate written agreement states otherwise.

25. Important Consumer Notice

If you are a consumer, nothing in these Terms is intended to:

  • remove or restrict your statutory rights;
  • exclude liability that cannot legally be excluded;
  • prevent you from exercising a legal right to cancel a contract;
  • prevent you from seeking a remedy where our goods, digital content or services do not comply with applicable legal requirements; or
  • give us rights that are unfair or disproportionate.

Where a provision of these Terms conflicts with a mandatory consumer protection law, the mandatory law will apply.

These Terms should be read together with any information provided to you before you enter into a contract with us, including pricing, service descriptions, cancellation information and any applicable quotation or proposal.
